Institutions

The organs of the association are:

General meeting

The ordinary general meeting is held once a year in November, usually in Hanover; extraordinary general meetings are held at the decision of the Executive Board or at the justified written request of one third of the members.

The General Meeting has the following tasks:

  • Acceptance of the annual report, approval of the financial statements and discharge of the Executive Board,
  • Elections,
  • Determination of the membership fee,
  • passing resolutions on proposals from the Executive Board, the Scientific Advisory Board or members of the Association.

The Managing Board consists of:

  • the President of the Society,
  • two Vice-Presidents, one of whom is elected by the Scientific Advisory Board from among its members,
  • the secretary,
  • the treasurer,
  • five further members of the Executive Board, one of whom is elected by the Scientific Advisory Board from among its members.

The members of the Executive Board are elected for three years. They remain in office until new elections are held. The President of the Association chairs the General Assembly and the Board meeting. Board meetings are held as required, but in any case at the request of three Board members and usually at the registered office of the company. The Executive Board is quorate when five members are present. It passes resolutions by simple majority.

The company is represented in and out of court by the President, the Vice-Presidents and the Secretary. Two persons each represent the company jointly.

The Scientific Advisory Board fulfils the scientific tasks of the Society, in particular the promotion of the edition of Leibniz's works.
